Seller means Three Rocks LLC DBA Barn Dominion. Purchaser means the customer.
1. Products Seller offers prefabricated portable barns and related products built in Seller’s shop according to Seller’s standard designs and specifications.
2. Proposal and PricingAll pricing, specifications, and order details are set forth in Seller’s Proposal (the “Proposal”). The Proposal is incorporated into these Terms and Conditions by reference. In the event of any conflict, these Terms and Conditions shall control.
3. Limited Warranty Seller provides a limited one-year warranty on materials and workmanship from the date of delivery. This warranty covers manufacturing defects in materials and workmanship under normal use. It does not cover damage caused by improper site preparation, misuse, accidents, acts of God, improper handling or installation by Purchaser or third parties, or normal wear and tear. Seller’s sole obligation under this warranty is to repair or replace the defective portion at its discretion. All warranty claims must be submitted in writing within the one-year period.
4. Changes and Modifications Any changes requested after the Proposal is accepted may require a written change order and additional cost. Seller is not obligated to accept changes once production has begun.
5. Returns and Cancellations All sales are final. Returns are not accepted.
6. Limitation of Liability After delivery, Purchaser assumes all risk of injury, death, property damage, or loss arising from the use, placement, anchoring, maintenance, or modification of the Barnski product. Seller is not liable for any injuries, damages, or losses occurring after delivery. Purchaser agrees to indemnify and hold Seller harmless from any claims arising from the product’s use. Seller’s total liability under any theory shall not exceed the purchase price paid for the specific product.
7. Payment Terms Purchaser shall pay all amounts according to the Proposal and Invoice. Payment is due upon receipt of invoice unless otherwise stated.
8. Collection and Legal Costs Purchaser is responsible for all collection costs, including reasonable attorney’s fees.
9. Delivery, Title, and Risk of Loss Title and risk of loss pass to Purchaser upon delivery or pickup. Delivery dates are estimates only.
10. Purchaser Responsibilities Purchaser is solely responsible for proper site preparation, permits, final placement, anchoring, ongoing maintenance, and safe use of the barn.
11. Force Majeure Seller is not liable for delays caused by events beyond its reasonable control.
12. Governing Law This agreement is governed by Oregon law. Disputes shall be resolved in Deschutes County courts.
13. Entire Agreement These Terms and Conditions, together with the Proposal and Invoice, constitute the entire agreement. They supersede all prior understandings.
14. Acceptance These Terms and Conditions apply to all Barnski transactions. They are incorporated by reference into every Proposal, Invoice, and Delivery Acceptance. By signing the Proposal, paying any Invoice, or signing the Delivery Acceptance, Purchaser agrees to be bound by these Terms and Conditions.
